About these Terms
These are the Terms of Service for ProSeafarers, the maritime crewing marketplace where seafarers find work and companies recruit crew. ProSeafarers is a trading name of Martide Pte. Ltd. (Company Registration No. 202124060K), registered at 1 HarbourFront Place, #14-05/06, Singapore 098633 ("Martide", "we", "us", "our"). Your agreement is with Martide Pte. Ltd. These Terms are one agreement, with sections that apply to everyone and a further part that applies only if you are a Seafarer or only if you are a Company. Read the shared sections and whichever part applies to you.
Key terms used in these Terms
In these Terms, "ProSeafarers" means the platform Martide operates; "Seafarer" means a person seeking maritime work; "Company" means an employer, ship owner, ship manager, or manning (crewing) agency that recruits Seafarers through ProSeafarers; "User Account" means your personal sign-in account, whether you are a Seafarer or a person acting for a Company; "User" means the person who holds that User Account; "Profile" means a Seafarer's recruitment record, including their experience, qualifications, and Documents; and "Seat" means a User's accepted, live access to one Company. Company representatives have User Accounts and Seats; they do not have Seafarer Profiles. Where we say "you", we mean the User reading the part of these Terms that applies to them.
Who may use ProSeafarers
You must be at least 18 years old to create an account or use ProSeafarers. By using ProSeafarers, you confirm that you are 18 or older and that everything you tell us about yourself or your organization is accurate.
Accepting these Terms
Every User must explicitly accept these Terms for themselves, including each User who acts for a Company. Creating an account, signing in, or continuing to use ProSeafarers does not replace that acceptance. Company acceptance is separate and follows "Companies: binding your organization" below. We publish each Terms Version at /terms and keep earlier versions at /terms/vN. You must have accepted the required Material Terms Version before substantive use of the service from its effective date, as explained in "Changes to these Terms". A version that is not material takes effect on its stated date without needing a new acceptance. These requirements also apply to automated use, including through API Keys and Connected Assistants where available. Automated activity does not record or replace a User's or Company's required acceptance.
Acceptable use
When using ProSeafarers, do not create a false profile or misrepresent your identity or qualifications; do not scrape the platform or use bots or other automated tools except as permitted under "Automated access, APIs and MCP"; do not try to bypass or interfere with its security; and do not post or send anything unlawful, discriminatory, or fraudulent, including advance-fee or recruitment-fee scams. We may remove content and suspend or close accounts that break these rules.
Automated access, APIs and MCP
You may access ProSeafarers through its interfaces, APIs and MCP server that we make available for your use, including through Connected Assistants and authorised Company integrations. Automated access must use the authentication we require and remain within the permissions granted to the relevant User or Company. You must comply with applicable usage limits and must not bypass access controls, share credentials without authorisation, or access data you are not permitted to use. Other bots, scrapers and automated access require our prior written permission. Company responsibility for this access is explained under "Companies: responsibility for API Keys and Connected Assistants".
What ProSeafarers is not
Martide operates ProSeafarers as a platform that lets Seafarers and Companies find and contact each other. Martide is not a recruitment or manning agency, is not the employer of any Seafarer, and does not make hiring decisions. We do not guarantee that a Seafarer will find work, that a Company will find a candidate, or that anything a User posts is accurate. Employment terms, wages, and working conditions are agreed between the Seafarer and the Company, not with Martide.
Badges and verification labels
Badges and labels describe only the status, feature, or specific check explained alongside them. A Subscription badge indicates access to paid features; it does not mean that identity, qualifications, Documents, or employment history have been independently verified. A verification label applies only to the particular information checked. Company approval or a badge does not guarantee a Posting's accuracy, working conditions, payment, safety, or an employment outcome. Seafarers and Companies must still carry out the checks relevant to their decisions.
AI-assisted features
AI features assist Users with recruitment and job seeking. Their outputs, including extracted information, summaries, recommendations, rankings and Match Percentages, may contain errors, omissions or bias. Review relevant information and verify its accuracy before relying on it. AI outputs do not guarantee a Seafarer's suitability, a Company's reliability, or an employment outcome. Companies remain responsible for assessing candidates and making hiring decisions. Seafarers remain responsible for checking information added to their Profiles.
Your User Account and security
You must keep your login credentials secure and your User Account information accurate and up to date. Notify us promptly if you suspect unauthorised access. Company responsibility is explained under "Companies: responsibility for API Keys and Connected Assistants".
Privacy
Our Privacy Policy explains what personal data we collect through ProSeafarers, the purposes and legal bases for using it, how long we keep it, and the rights you have over it. This includes what happens to personal data when a User Account or Company closes, or a Company removes a User. It is a separate notice: you do not need to accept it, but it applies to everyone who uses ProSeafarers. Accepting these Terms does not replace any separate consent required for a particular use of your personal data.
Intellectual property
Martide and its licensors own the intellectual property rights in ProSeafarers, including its software, design, branding, and content they provide. These Terms do not transfer ownership of content supplied by Seafarers or Companies. We give you a limited licence to use ProSeafarers for its intended purpose: finding work or recruiting crew. You may not copy, resell, or build a competing product from ProSeafarers' software or content.
Subscriptions and Plans
Some features of ProSeafarers require a paid Plan. A paid Subscription renews automatically at the price and interval you agreed to, until you cancel it. Prices are shown in US dollars. If you change to a different Plan partway through a billing period, we prorate the charge for the rest of that period. Before you purchase, we show the total payable, including any applicable taxes. If we change your Subscription price, the change will apply only from a future renewal. We will give you reasonable advance notice by email stating the new price, when it takes effect, and how to cancel before that renewal. A price change will not increase the charge for a period you have already paid for. We will obtain your acceptance where required by applicable law or the "Changes to these Terms" section.
Paid prominence
Some paid features give Profiles or Applications greater prominence in Company searches or Application lists. Their position may therefore reflect paid promotion as well as relevance and the selected sorting options. We identify paid promotion where it affects how results are presented. Paid prominence does not verify a Seafarer's qualifications or guarantee that a Company will view an Application, offer an interview, or make an offer. Companies remain responsible for assessing suitability.
Cancelling a Subscription
You can cancel a Subscription at any time in your account settings. Cancelling stops the next renewal; you keep access to the Plan's features until the end of the period you already paid for, unless your User Account or Company is closed or your access otherwise ends under these Terms. We do not refund the unused part of a period you have already paid for, except as described in "Changes to these Terms" or "Seafarers: statutory withdrawal rights" below, or where the law requires it.
Warranty disclaimer
We provide ProSeafarers "as is" and "as available". To the fullest extent the law allows, we do not promise that it will be uninterrupted, error-free, or fit for a particular purpose, and we make no warranty about the accuracy of anything a User posts.
Liability cap
To the fullest extent the law allows, Martide's total liability to the relevant Seafarer or Company arising out of these Terms is limited to the total fees that Seafarer or Company paid to Martide in the 12 months before the claim arose. Neither party is liable to the other for indirect or consequential loss, including lost profits, lost business, or lost data.
What our liability cap does not cover
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow us to limit or exclude.
Suspending or closing User Accounts
We may suspend or close a User Account that breaches these Terms, that puts other Users or ProSeafarers at risk, or that we are required to act on by law. Where reasonably practicable and lawful, we will explain the reason for suspension or closure and give you an opportunity to resolve the issue before we act. We may act immediately where necessary to address security risks, suspected fraud, serious or repeated breaches, or legal requirements. You may request a review by contacting legal@martide.com. We will consider your request promptly and in good faith. Requesting a review does not automatically restore access. The Seafarer and Company sections below explain how you can close a User Account or Company, and what happens when a Company removes a User. Sections of these Terms that are meant to survive closure, such as liability, indemnification, and intellectual property, continue to apply after your User Account or Company is closed.
Changes to these Terms
We may update these Terms to reflect changes to our service, legal requirements, or security needs. For material changes, we will email affected Users with reasonable advance notice before they take effect, explaining the main changes and their effective date. We may give shorter notice where necessary to comply with law or address an urgent security or abuse risk, and will explain why. Each User must explicitly accept a required Material Terms Version for themselves. Only a User with a live admin Seat who confirms their authority may accept it for a Company. From the effective date, missing personal acceptance blocks that User's substantive use. Missing Company acceptance blocks substantive Company work by all its Seat holders, including admins and members. These restrictions do not start before the effective date. A Company that has not accepted the required version has its Postings hidden from the job board and search. A Seafarer who has not accepted it has their Profile hidden from Company searches. These restrictions do not change the underlying Postings or Profile. Visibility returns after the required acceptance if the records are otherwise eligible to appear. Queued Auto-Apply, Company invitation emails, and Document scans check required acceptance when they run and do not proceed if it is missing. Notifications about earlier permitted actions, certificate-expiry alerts, and Terms-change notices continue. If required acceptance is missing, you can still sign out, close your User Account or Company, request data export or deletion, and exercise your privacy rights. You can also manage consent and notification settings, revoke connected apps, close or archive a Posting, remove a team member, unsubscribe, and cancel a Subscription you are authorised to cancel. Existing permissions for these actions still apply. If you disagree with a change, you may stop using the service and close your User Account or Company. You may also end an affected paid Subscription before the change takes effect and receive a proportionate refund for its unused prepaid period. Non-material changes take effect on the stated date. We keep previous versions available at /terms/vN.
Governing law
These Terms are governed by the law of Singapore.
Disputes and your rights as a consumer
If you are a Company, the courts of Singapore have exclusive jurisdiction over any dispute arising from these Terms. If you are a Seafarer using ProSeafarers as a consumer, this section does not take away any mandatory consumer protection that the law of your home country gives you, including any right to bring proceedings in your home country's courts.

Seafarers: this part of the Terms
This part applies if you are a Seafarer using ProSeafarers to look for work. It applies alongside the shared sections above, which cover everyone.
Seafarers: right to work
You must provide genuine documents and accurate information about your qualifications and right-to-work status, including any permissions or sponsorship you still need. Before work starts, you and the Company must fulfil your respective legal obligations. ProSeafarers does not determine your legal eligibility to work.
Seafarers: accuracy of your Profile
Keep your Profile accurate, complete, and up to date. We may suspend or remove a Profile that contains false, misleading, or out-of-date information.
Seafarers: your content and our licence
You keep ownership of the information and documents you add to your Profile. You give Martide a licence to host that content and to show it to Companies so they can consider you for a Posting, and to use it as our Privacy Policy describes.
Seafarers: emergency and next-of-kin information
ProSeafarers does not provide Emergency Contact or Next-of-Kin Contact features. Do not add those details to your Profile, CV, or uploaded Documents. If an employer needs them for your employment, provide them directly through the employer's own process. You can still add your own Contact Channels so Companies can contact you about recruitment.
Seafarers: health and other sensitive information
You may provide height, weight, and vaccination records through the supported Health Details and Document features with your separate explicit consent. Accepting these Terms does not give that consent. Our Privacy Policy explains access to these records, consent withdrawal, deletion, retention, and restrictions on their use. Do not add medical-fitness records, medical conditions, or other unsupported sensitive information to your Profile, CV, uploaded Documents, or free-text fields. Permitted vaccination records are separate from medical-fitness records. If an employer needs information that ProSeafarers does not support, provide it directly through the employer's own process.
Seafarers: statutory withdrawal rights
Where applicable consumer law gives you a right to withdraw from your paid Subscription, we will honour that right and provide the refund required by that law.
Seafarers: no recruitment fees
Creating a Profile and submitting Applications manually are free. You do not need a paid Subscription to apply for a Posting or be considered for employment. Companies must not charge you to apply, interview, or be hired through ProSeafarers. If anyone asks you to pay to apply, interview, or be hired, refuse and report it to us.
Seafarers: closing your User Account
You can close your User Account from Settings by completing the confirmation process. We end all your signed-in sessions, anonymise your User Account and Profile, and delete the attachments you uploaded, including your CV, Documents, and profile image. Closing your User Account also cancels the renewal of any paid Subscription; it does not refund the current period except as described in "Cancelling a Subscription". We retain some records as explained in our Privacy Policy, including records needed for accounting, security, legal obligations, or disputes. Closing your User Account does not delete copies a Company has already received; contact that Company about its own records.
Companies: this part of the Terms
This part applies if you are a Company, meaning an employer, ship owner, ship manager, or manning (crewing) agency using ProSeafarers to recruit Seafarers. It applies alongside the shared sections above, which cover everyone.
Companies: binding your organization
A Company accepts these Terms only when a User with a live admin Seat explicitly accepts on its behalf and confirms their authority to bind it. This statement is the Authority Confirmation. That acceptance binds the Company and is separate from the User's own acceptance. Creating a Company does not accept these Terms for it. A Company can exist before it accepts. Creator history, a Seat, or an admin role alone does not establish acceptance or authority. A Company imported from an earlier platform follows the same rule: its first acceptance comes from an admin who explicitly accepts with an Authority Confirmation.
Companies: Seat holders acting for you
Anyone who holds a Seat at your Company acts on your Company's behalf within the access that Seat gives them. Your Company is responsible for what its Seat holders do on ProSeafarers, in the same way an employer is responsible for its staff.
Companies: adding and removing Users
Your Company's admins can invite Users and remove them from the Company. When an admin removes a User, we end their Seat, archive their User Account, and end all their signed-in sessions. They no longer appear in the active team list and cannot sign in while their User Account is archived. Archiving preserves their identifying details and historical records, subject to our Privacy Policy. You cannot remove the last active admin through individual User removal; appoint another admin or use Company Closure.
Companies: inviting a User back
An active Company can send a new invitation to a User whose Company User Account is archived. Sending the invitation does not restore access. When the User accepts a valid invitation, we reactivate the same User Account and give them a new Seat with the role specified in that invitation. Their previous Seat remains archived. They start a new signed-in session; previous sessions remain invalid. A User can hold a live Seat at only one Company at a time. Rejoining does not reopen a closed Company.
Companies: closing your Company
An admin can close your Company from Settings by completing the confirmation process. We archive the Company and the User Accounts of all its remaining Users, end their Seats and all their signed-in sessions, and prevent them from signing in while archived. We remove the Company's live Postings and revoke its API Keys. We preserve the Company's and its Users' identifying details and historical records, subject to our Privacy Policy, and delete the attachments uploaded for the Company, including its logo. Company Closure ends access immediately and stops Subscription renewal. It does not cancel amounts already owed or create a refund entitlement beyond these Terms or applicable law.
Companies: accepting a later Material Terms Version
Only a User with a live admin Seat and an Authority Confirmation can accept a Material Terms Version on your Company's behalf. One such acceptance binds the whole Company for that version. Each User must also explicitly accept for themselves, including invited members and admins. The Company and personal acceptance requirements apply from the version's effective date, as explained in "Changes to these Terms". A member Seat cannot supply Company acceptance. An admin must do so before substantive Company work can resume.
Companies: responsibility for API Keys and Connected Assistants
Your Company is responsible for its Seat holders' use of ProSeafarers and for integrations and Connected Assistants it authorises. You must protect access credentials, grant only appropriate permissions, and promptly revoke access that is no longer authorised. Notify us promptly if you suspect compromised credentials or unauthorised access. Your Company is responsible for unauthorised activity to the extent caused by its failure to meet these obligations. This clause does not make your Company responsible for activity caused by Martide's breach of these Terms.
Companies: candidate data use
Use the candidate data you receive through ProSeafarers only to recruit for a genuine vacancy. Do not use it for any other purpose.
Companies: no marketing to Seafarers
Do not use candidate data to market to Seafarers, whether by email, message, or any other channel, outside of contacting them about a specific recruitment.
Companies: no fees to Seafarers
Do not charge a Seafarer an application fee, a placement fee, or any other fee to apply for, interview for, or be considered for a job. This applies whether you charge directly or through a third party acting for you.
Companies: Seats and integration credentials
Each Seat is for one person. Do not share a Seat holder's login credentials. Your Company may provide API credentials to an authorised integration or Connected Assistant only through authentication methods we permit and within the permissions needed for its authorised purpose. Protect those credentials and revoke access when it is no longer authorised.
Companies: permitted sharing and no resale of candidate data
Do not sell or resell candidate data. You may share it with service providers only where necessary for recruitment permitted by these Terms, under your documented instructions and binding data-protection obligations. You may share it with another employer only where necessary for a recruitment the Seafarer has already engaged in. All sharing must comply with applicable law and the international data transfer agreement below. Authorised API or MCP access does not permit unrelated uses or AI model training.
Companies: independent assessment of candidates
Your Company must independently assess candidates' suitability and must not treat Match Percentages or other AI outputs as a substitute for that assessment. Your use of these outputs must comply with applicable privacy, employment, and anti-discrimination laws.
Companies: no training AI models on Profiles
Do not use Profile data to train an artificial intelligence or machine learning model, whether your own or a third party's.
Companies: independent controller of candidate data
When your Company accesses or receives personal data through ProSeafarers for its own recruitment purposes, it acts as an independent controller. Your Company is responsible for its own processing, including copies downloaded, exported, or transferred to its systems. Martide remains responsible for its own processing, including its disclosures and access controls. The international data transfer agreement below forms part of these Terms and applies to every Company.
Companies: international data transfer agreement — scope
This agreement is between Martide Pte. Ltd., identified above, and the Company bound by these Terms. In this agreement, "you" and "your" mean that Company. It applies to every Company, wherever established, and to all personal data it accesses or receives through ProSeafarers, including through Profile searches, Applications, downloads, API Keys, and Connected Assistants. Access from another country is covered even if no file is downloaded. The general protection obligations below apply whether or not a particular disclosure is legally an international transfer. The additional jurisdiction-specific requirements apply when the relevant law applies. This agreement does not expand the data or uses you are otherwise allowed to access or undertake under these Terms.
Companies: international data transfer agreement — use and protection
You must use personal data only for the genuine recruitment permitted by these Terms, establish a lawful basis for your processing, and provide required privacy information to the individuals concerned. Access through ProSeafarers does not itself establish their consent to your processing. You must meet any additional requirements for health information and other sensitive data. You agree to provide a standard of protection at least comparable to that required by Singapore's Personal Data Protection Act 2012, as amended, and to comply with any other data-protection law applicable to your processing. You must keep information reasonably accurate for its intended use and maintain appropriate technical and organisational safeguards against loss, misuse, unauthorised access, alteration, or disclosure. Limit access to authorised people who need it for the permitted purpose and are subject to confidentiality obligations.
Companies: international data transfer agreement — transfer details
Before receiving personal data, you must provide your legal name, registered address, privacy contact, and the countries and territories from which you and your service providers will access, store, or otherwise process it. The parties must record the agreed destinations and transfer details in a schedule forming part of this agreement. You must notify Martide before changing those arrangements and must not make a new destination available until the schedule and any required safeguards have been updated and agreed. Transfers may occur on an ongoing basis during authorised use of ProSeafarers. They concern Seafarers and any other individuals whose personal data is contained in the records you are permitted to access. The data may include Profile information, contact details, Work History, qualifications, CVs, Documents, and Applications. The purpose is the recruitment allowed by these Terms; retention is governed by the retention section of this agreement.
Companies: international data transfer agreement — onward disclosure
You must not sell the data, use it for unrelated marketing, or use it to train AI models. You may share it only as allowed by these Terms and applicable law. Sharing with another employer must be necessary for a recruitment the Seafarer has already engaged in. Sharing with a service provider must be necessary for recruitment permitted by these Terms; it does not require the Seafarer to have already engaged in that recruitment. Before sharing, put in place binding obligations appropriate to the recipient's role that preserve the protection required by this agreement and any applicable transfer mechanism. Your service providers must act only on your documented instructions. You remain responsible for compliance by your Users and service providers acting on your behalf. Disclosures to separate employers or other independent controllers require their own lawful basis and any required transfer safeguards.
Companies: international data transfer agreement — regional safeguards
Each party must meet the international-transfer requirements that apply to its own processing. Where an applicable adequacy decision or another lawful transfer route does not cover a transfer, the parties must put the required safeguards in place before it occurs. For transfers governed by the EU GDPR, this may require the applicable European Commission Standard Contractual Clauses and completed annexes. For transfers governed by the UK GDPR, this may require the UK Addendum to those clauses or an International Data Transfer Agreement with its required tables completed. The parties must complete any required transfer assessment and supplementary measures. This agreement's general obligations do not replace those instruments.
Companies: international data transfer agreement — requests and incidents
You must provide a contact for privacy requests and respond to individuals within the deadlines required by applicable law. Cooperate reasonably with Martide where a request concerns both parties, including corrections, objections, and deletion requests. Notify privacy@martide.com without undue delay after becoming aware of a personal data breach affecting data obtained through ProSeafarers. Provide available information about the affected data, likely consequences, and containment and remedial steps, with further updates as information becomes available. Investigate and mitigate the incident and cooperate with Martide. Each party remains responsible for its required notifications to regulators and individuals; cooperation must not delay a legal deadline.
Companies: international data transfer agreement — government access
Where legally permitted, promptly notify Martide of a binding public authority request for data obtained through ProSeafarers. Assess the request's legality and take reasonable steps to challenge an unlawful or excessive request. Disclose only what the law requires. If a law or practice prevents you from complying with this agreement or an applicable transfer safeguard, notify Martide as far as legally permitted and stop receiving further affected data until a lawful arrangement is established. Nothing here requires a party to violate applicable law or limits stricter duties under an applicable transfer instrument.
Companies: international data transfer agreement — retention and deletion
Keep personal data only as long as necessary for the recruitment permitted by these Terms or a lawful retention requirement, and securely delete or anonymise it when no longer needed. Ending access to ProSeafarers does not authorise indefinite retention of copies. Where the law requires continued retention, restrict access and use to that requirement and delete or anonymise the data when it ends. Cooperate with any return or deletion required by an applicable transfer instrument and provide reasonable confirmation on request. These obligations continue after your Company closes or your access ends for as long as you hold personal data obtained through the service.
Companies: international data transfer agreement — compliance and priority
On reasonable request, provide information necessary to demonstrate compliance with this agreement and cooperate with a proportionate review of the relevant safeguards. Martide may restrict or suspend affected access or transfers where it reasonably believes these obligations cannot be met or personal data is being misused or inadequately protected. Each party must suspend a transfer where applicable law or its transfer instrument requires it. Any binding Standard Contractual Clauses, UK Addendum, International Data Transfer Agreement, or other mandatory transfer instrument takes priority over conflicting provisions of these Terms, including liability limits, governing law, and jurisdiction, to the extent required by that instrument. Nothing in this agreement removes individuals' statutory rights or either party's responsibility for its own processing.
Companies: Postings and content
Every Posting must describe a genuine, current, paid vacancy for which your Company is authorised to recruit. Your Postings and other content must be accurate, lawful, and non-discriminatory. Do not publish fictitious or misleading vacancies to collect candidate data. Keep material details up to date and promptly close a Posting when the vacancy is filled, withdrawn, or no longer open for Applications.
Companies: recruitment authority and licences
Your Company must hold and maintain any licences, registrations, approvals, and other authorisations required by applicable law for its recruitment activities through ProSeafarers. If you recruit on another employer's behalf, you must have that employer's authority to advertise the vacancy and recruit for it. You must comply with applicable recruitment and employment laws, including maritime recruitment requirements where relevant. Access to ProSeafarers or Company Approval does not replace these requirements. You must provide reasonable evidence of these authorisations on request and promptly notify us if an authorisation relevant to your use of ProSeafarers expires, is suspended, or is revoked. You must stop the affected recruitment activity until the required authorisation is restored.
Companies: lawful nationality requirements
Your Company may specify nationality requirements where necessary to comply with applicable law or the scope of its recruitment licence, accreditation, or other regulatory authorisation. Any restriction must accurately reflect those requirements and apply only to the extent necessary. Your Company must provide evidence of the legal or licensing basis on request and must not use nationality criteria for unlawful discrimination.
Companies: required local recruitment and manning agencies
Where applicable law requires recruitment or deployment through a licensed local recruitment or manning agency, your Company must use such an agency and obtain the required accreditations, approvals, and documentation before undertaking the activities to which they apply. Do not use ProSeafarers to bypass these requirements or restrictions on direct hiring. For recruitment of Filipino Seafarers for overseas employment, confirm the applicable requirements with the Philippine Department of Migrant Workers (DMW) or a DMW-licensed manning agency, and use such an agency where required. Any exemption you rely on must apply to the particular engagement and be supported by any required official approval.
Companies: your content and our licence
Your Company and its licensors retain their rights in the Postings, logos, descriptions, and other content your Company supplies. You confirm that you have the rights and permissions needed to supply that content and allow its use under these Terms. You grant Martide a non-exclusive, worldwide, royalty-free licence to host, copy, format, display, and distribute that content as needed to provide ProSeafarers, including publishing your Postings and delivering relevant job alerts. Our service providers may use it on our behalf for those purposes. This licence does not override our Privacy Policy, your visibility settings, or the restrictions and safeguards applying to AI uses under these Terms.
Companies: indemnity
Your Company will indemnify Martide against direct losses reasonably incurred and third-party claims and resulting damages and reasonable legal costs, to the extent caused by your Company's misuse of candidate data, unlawful or infringing Postings, or breach of these Terms. This does not apply to the extent the claim or loss was caused by Martide's breach of these Terms, negligence, or wilful misconduct. We will promptly notify your Company of a claim for which we seek indemnification, and both parties will cooperate reasonably in handling it. We will not agree to a settlement that creates obligations for your Company without its prior written consent, which must not be unreasonably withheld or delayed.
